Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Presto application and related services ("Service") operated by LVK Systems UG (haftungsbeschränkt), Kurfürstendamm 96, 10709 Berlin, Germany ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

Presto is an invoice-retrieval and bookkeeping automation tool. It connects to email inboxes, fetches invoices from supplier billing portals, matches invoices against bank transactions, and exports organised invoice data to accounting software. The portal-fetching component runs locally on your device.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at leo@prestoinvoices.com if you become aware of any unauthorised use of your account.

4. Free Trial and Subscription

We offer a 7-day free trial. No payment information is required to start the trial. At the end of the trial period, you may subscribe to a paid plan to continue using the Service. If you do not subscribe, your access to paid features will be suspended.

Paid subscriptions are billed monthly in advance. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods, except where required by applicable law.

We reserve the right to change our pricing with 30 days' notice. Price changes will apply to the next billing period after the notice period.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service to violate any applicable law or regulation, including tax, data protection, or anti-money-laundering laws
• Use the Service to access accounts, inboxes, or billing portals that you do not have authorisation to access
• Attempt to interfere with, compromise, or disrupt the Service or its underlying infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service, except where permitted by applicable law
• Resell, sublicense, or redistribute the Service without our prior written consent
• Use the Service to process data belonging to third parties without their consent
• Use automated means to create accounts or abuse the free trial

We reserve the right to suspend or terminate your account if we reasonably believe you are violating these Terms.

6. Your Data

You retain all rights to the data you provide to or process through the Service ("Your Data"). You grant us a limited, non-exclusive licence to process Your Data solely for the purpose of providing and improving the Service.

We process personal data in accordance with our Privacy Policy. If you use Presto to process personal data of third parties (e.g. supplier contacts on invoices), you are responsible for ensuring you have a lawful basis to do so.

Upon termination of your account, we will delete Your Data within 90 days, unless retention is required by law.

7. Intellectual Property

The Service, including its software, design, and documentation, is owned by LVK Systems UG (haftungsbeschränkt) and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

8. Third-Party Services

The Service integrates with third-party services (e.g. email providers, accounting software, bank data providers). Your use of these integrations is subject to the respective third party's terms and conditions. We are not responsible for the availability, accuracy, or conduct of any third-party service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or that it will detect all invoices or match all transactions correctly.

Presto is an automation tool, not a substitute for professional accounting or tax advice. You are responsible for verifying the accuracy and completeness of your invoices and bookkeeping records.

10. Limitation of Liability

To the fullest extent permitted by applicable law, our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or costs of procurement of substitute services, regardless of the theory of liability.

Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under applicable law, including liability under mandatory provisions of German law (§§ 521, 599 BGB; wilful misconduct and gross negligence).

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any applicable law.

12. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the app. We may terminate or suspend your access to the Service at any time, with or without cause, upon reasonable notice. In cases of serious breach, we may terminate immediately without notice.

Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions and excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

For disputes arising out of or in connection with these Terms, the courts of Berlin, Germany shall have exclusive jurisdiction, to the extent permitted by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
